Tutor Agreement

TalkRipple

This Tutor Agreement ("Agreement”) is entered into between TalkRipple ("Platform”, "we”, "our”, or "us”) and the individual registering as a tutor on the Platform ("Tutor”, "you”, or "your”).

By registering as a Tutor and offering services through www.talkripple.com, you confirm that you have read, understood, and agree to be bound by this Agreement, together with TalkRipple’s Terms and Conditions, Payment and Refund Policy, and Privacy Policy, all of which form an integral part of this Agreement and are available on www.talkripple.com.

1. Role of the Platform

TalkRipple operates as an online marketplace that facilitates connections between independent tutors and learners.
The Platform does not provide tutoring services itself and is not a party to the tutoring relationship between Tutors and learners.

Tutors acknowledge that TalkRipple’s role is limited to providing technological infrastructure, payment processing, and administrative support.

2. Tutor Status

Tutors act as independent contractors and not as employees, agents, partners, or representatives of TalkRipple.

Nothing in this Agreement shall be construed as creating an employment relationship, partnership, joint venture, or agency relationship between the Tutor and TalkRipple.

Tutors have no authority to bind TalkRipple or act on its behalf.

3. Tutor Responsibilities

Tutors agree to:

Provide tutoring services professionally, ethically, and in accordance with applicable laws and regulations
Accurately represent their qualifications, experience, availability, and rates
Deliver lessons as booked through the Platform
Communicate respectfully with learners
Comply with TalkRipple’s Terms and Conditions, Payment and Refund Policy, and all applicable Platform guidelines

Tutors are solely responsible for the content, quality, and delivery of their lessons.

4. Lesson Pricing and Availability

Tutors independently set their lesson rates, availability, and teaching preferences through the Platform interface.

TalkRipple does not control lesson pricing or scheduling decisions made by Tutors.

5. Payments and Platform Fees

All payments for lessons must be processed exclusively through the Platform.

Upon successful completion of a lesson:

The Tutor is entitled to 85% of the lesson fee
TalkRipple retains a 15% service fee for platform operations, technology, and support
Payments to tutors are automatically processed through Stripe and released 24 hours after the session is completed

Tutor payouts are processed in accordance with the Payment and Refund Policy published on www.talkripple.com.

TalkRipple does not issue payments outside the Platform and does not provide cash, direct bank transfers, or off-platform compensation.

6. Cancellations and Refunds

Lesson cancellations, rescheduling, and refunds are governed exclusively by TalkRipple’s Payment and Refund Policy.

Tutors agree to comply with these rules and acknowledge that refunds or adjustments may affect their earnings accordingly.

7. Taxes and Legal Obligations

Tutors are solely responsible for:

Declaring and paying all applicable taxes in their country of residence
Complying with local laws, licensing requirements, and professional regulations

TalkRipple does not provide tax advice and bears no responsibility for the Tutor’s tax obligations, filings, or liabilities.

8. Equipment and Internet Access

Tutors are responsible for providing their own:

Devices and equipment
Stable internet connection
Teaching environment suitable for online lessons

TalkRipple is not responsible for technical issues arising from the Tutor’s equipment or connectivity.

9. Acceptable Conduct

Tutors must not:

Engage in harassment, discrimination, or inappropriate conduct
Share contact details to bypass the Platform
Solicit off-platform payments
Violate intellectual property rights
Upload unlawful or misleading content

Violation of these rules may result in suspension or termination of the Tutor account.

10. Intellectual Property

Tutors retain ownership of their original teaching materials.

By using the Platform, Tutors grant TalkRipple a non-exclusive, worldwide, royalty-free license to display Tutor profiles, lesson listings, and related content for Platform operation and promotion.

11. Account Suspension and Termination

TalkRipple reserves the right to suspend or terminate Tutor accounts at its discretion, including for:

Breach of this Agreement
Violation of Platform policies
Repeated learner complaints
Fraudulent or unlawful activity

Termination does not affect obligations incurred prior to termination.

12. Limitation of Liability

To the maximum extent permitted by law, TalkRipple shall not be liable for:

Tutor-learner disputes
Loss of income or opportunities
Technical interruptions beyond its reasonable control

Tutors agree that they use the Platform at their own risk.

13. Indemnification

Tutors agree to indemnify and hold harmless TalkRipple, its affiliates, officers, employees, and agents from any claims, damages, losses, or liabilities arising from:

The Tutor’s services
Violation of this Agreement
Breach of applicable laws or third-party rights

14. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Platform is incorporated, without regard to conflict of law principles.

Nothing in this Agreement limits mandatory rights available under applicable laws.

15. Amendments

TalkRipple may update this Agreement from time to time. Continued use of the Platform after changes constitutes acceptance of the revised Agreement.

16. Entire Agreement

This Agreement, together with TalkRipple’s published policies, constitutes the entire agreement between the Tutor and TalkRipple regarding use of the Platform.
